Acuiti Health – Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Acuiti Health's web application, accessible at acuiti.ca (the “Service”), operated by Acuiti Health Inc (“we”, “us”, or “our”).
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
1. Relationship to Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, store, and disclose personal information. By using the Service, you acknowledge that you have read and understood the Privacy Policy and agree to its terms.
2. Eligibility and Accounts
You must be at least 18 years old to create an account or use the Service.
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Ensuring that information you provide is accurate and up to date
We may suspend or terminate accounts that violate these Terms or applicable law.
3. Business Clients and End Users
Business Clients
If you are a health or exercise professional or organization using the Service to support your own clients (“Business Client”), you are responsible for:
- Ensuring you have appropriate authority and consent to provide personal information to us
- Your use of the Service in compliance with applicable laws and professional obligations
- The accuracy and appropriateness of content you provide through the Service
You remain the primary controller of your clients’ data, and we act as a service provider processing data on your behalf.
End Users
You may access the Service through to support your own exercise program through one of our Business Clients, such as an exercise or health professional or their organization. In this case, we provide you access to the Service on behalf of the Business Client and at their direction. Certain features or access may be limited or removed based on instructions from the Business Client.
4. Permitted Use
You agree to use the Service only for lawful purposes and in accordance with these Terms.
You must not:
- Use the Service in a way that violates any law or regulation
- Attempt to interfere with or disrupt the Service
- Access or attempt to access data that does not belong to you
- Reverse engineer, copy, or misuse the Service or its underlying technology
5. Health and Exercise Disclaimer
The Service is designed to support end users' exercise programs, as directed by our Business Clients, and to provide feedback and tracking tools. It does not provide medical diagnosis, medical advice, or emergency services.
You acknowledge that:
- The Service is not a substitute for professional medical judgment
- You should seek appropriate professional advice before starting or modifying any exercise program
- Use of the Service is at your own risk
6. SMS Exercise Reminder Terms
As part of the Service, you may choose to subscribe to SMS (text message) notifications by submitting your phone number on our website. Specific terms related to SMS notifications can be found here: SMS Terms of Service
If you do not choose to receive SMS notifications through our website, then the SMS Terms of Service do not apply to you.
7. Fees and Payments (If Applicable)
If you purchase a paid subscription or service:
- Fees are due as described at the time of purchase
- Payments are non-refundable unless required by law or expressly stated otherwise
- We may change pricing with reasonable notice
Failure to pay may result in suspension or termination of access.
8. Intellectual Property
The Service, including its software, design, content, and trademarks, is owned by Acuiti Health Inc or its licensors and is protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use the Service solely as permitted under these Terms.
9. Third-Party Services
The Service may rely on or link to third-party services. We are not responsible for the content, availability, or practices of those third parties. Your use of third-party services is subject to their own terms and policies.
10. Service Availability and Changes
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We do not guarantee uninterrupted or error-free operation.
11. Termination
We may suspend or terminate your access to the Service if:
- You violate these Terms
- Required by law or regulation
- We discontinue the Service
Upon termination, your right to use the Service ends immediately.
12. Limitation of Liability
To the fullest extent permitted by law:
- The Service is provided “as is” and “as available”
- We disclaim all warranties, express or implied
- We are not liable for indirect, incidental, special, or consequential damages arising from your use of the Service
Our total liability will not exceed the amount you paid us (if any) in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold Acuiti Health harmless from any claims, damages, or liabilities arising from:
- Your misuse of the Service
- Your violation of these Terms
- Your provision of personal information without appropriate authority or consent
14. Governing Law
These Terms are governed by the laws of the Province of Quebec and the laws of Canada applicable therein, without regard to conflict of law principles.
15. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice through the Service or by other reasonable means. Continued use of the Service after changes take effect constitutes acceptance.
